The Managing Partner, Michael Dorazio, Jr., has more than 35 years
experience as a successful lawyer and businessman in a wide range
of endeavors.
The vast breadth of Mr. Dorazio’s experience as a real estate
lawyer is virtually all-encompassing. As shown on his resume,
his legal experience ranges from providing legal and business advice
to some of the largest and most successful real estate businesses
in the country, including developers, contractors, syndicators,
brokerage organizations and property managers, regarding all phases
of the real estate industry, to teaching advanced real estate law
as an Adjunct Professor of Law at the University of San Diego School
of Law, to Lecturer to attorneys at various California Continuing
Education of the Bar programs regarding real estate sales and financing
transactions.
Mr. Dorazio’s immense experience as a real estate lawyer
is perhaps only matched by his experience as a real estate executive.
As the President or Executive Vice President of numerous affiliated
companies doing business as Continental American Properties (“ConAm”),
one of the largest real estate management, development and syndication
companies in the country, he had direct responsibility for the day-to-day
operations of the ConAm companies, with more than 1,000 employees
at offices throughout the United States. He was involved in structuring
and negotiating numerous public syndications utilizing Wall Street
brokerage firms, and was responsible for the structuring and negotiation
of numerous financing packages collateralized by real estate. In
performing his duties, he worked closely with various investors,
borrowers, lenders, governmental agencies, boards of directors,
associations, law and accounting firms, developers, real estate
brokers and securities brokers.
As Chairman of the Board, President and Chief Executive Officer
of Pioneer Liquidating Corporation (“Pioneer”), Mr.
Dorazio directed the operations of this liquidating company for
a highly complex real estate loan investment company with more than
2,800 investors who had invested approximately $225,000,000 in real
estate partnerships and pool mortgage loans. Pioneer’s portfolio
included resorts, hotels, office buildings, undeveloped land, nursing
homes, single-family and multi-family residential, commercial and
industrial properties, as well as tens of millions of dollars in
promissory notes secured by trust deeds. At Pioneer, Mr. Dorazio
was responsible for restructuring tens of millions of dollars in
loans and managing and selling dozens of foreclosed real estate
properties.
Mr. Dorazio’s wide-ranging experience with business, corporate,
financial and securities matters began more than 35 years ago. Having
been selected for the United States Attorney General’s Honors
Program out of law school, he investigated and analyzed mergers,
acquisitions and anti-competitive activities throughout the United
States and challenged them in court where appropriate. Since first
entering the private practice of law in 1969, his immeasurable experience
ranges from many years of rendering legal and business advice to
clients in forming business entities and structuring and negotiating
complex business transactions across the United States and throughout
the world to his own business experience in acquiring and operating
domestic and foreign businesses.
As reflected on his resume,
his experience over the years has included representing clients
in innumerable business, corporate, securities, finance, professional
services, pension and profit-sharing, litigation, bankruptcy and
estate matters. Mr. Dorazio’s business experience also includes
being a sole or part owner of various foreign and domestic business
enterprises and investment opportunities, acting as general contractor
for the development of a fifty-acre high-tech luxury ranch, breeding
laboratory and executive residence in Rancho Santa Fe, California,
and being a longtime investor. He also has served on the board of
directors of numerous organizations, including a national bank.
Mr. Dorazio’s far-flung international experience includes
representing clients in foreign mergers and acquisitions and in
structuring and negotiating highly complex international joint venture
agreements for manufacturing, distribution, and import/export of
various products, from Japan to the United Kingdom, as well as his
own business experience in acquiring and operating foreign businesses
engaged in manufacturing, distributing and importing/exporting various
products, from Australia to Spain. He also has represented numerous
foreign clients in their dealings in the United States.
As also reflected in his resume,
Mr. Dorazio’s litigation experience ranges from serving as
a Trial Attorney with the Special Trial Section of the Antitrust
Division of the United States Department of Justice in the ‘60's
to his role as Chairman of the Board, President and Chief Executive
Officer at Pioneer Liquidating Corporation in the ‘90's. At
Pioneer, Mr. Dorazio personally directed more than 200 lawsuits,
in all phases from discovery and motion practice through trial and
appeal, and supervised the preparation of litigation reports and
budgets. He actively participated in dozens of settlement conferences
with judges, magistrates, retired judges, and attorneys, and negotiated
settlements which resulted in millions of dollars recovered by Pioneer.
Mr. Dorazio’s incomparable experience spanning five decades
gives the firm a unique perspective in providing legal and business
advice to clients in a myriad of matters, as well as the ability
to resolve highly complex issues.
T. Steven Gregor, a founding partner of Dorazio & Gregor LLP,
brings a resume of heavy
litigation experience to the firm, particularly in the areas of
construction defect, personal injury, intellectual property and
general business matters.
Mr. Gregor began his legal career while attending law school at
California Western School of Law, located in San Diego, California.
During his final year of law school, he clerked for Arkin &
ElWardani, a civil litigation firm, which sparked his interest in
becoming a trial attorney.
After earning his Juris Doctorate Degree and admission to the California
Bar, Mr. Gregor was hired by an intellectual property and civil
litigation firm located in North County, San Diego. Here, Mr. Gregor
litigated a wide variety of cases involving patent, trademark and
trade dress infringement, unfair competition, securities fraud,
contractual and business disputes, defamation, construction, construction
defect, bankruptcy and insurance coverage. He also handled numerous
transactional matters in the areas of business and corporate law.
After several years of additional legal experience, Mr. Gregor
was invited to join the firm of Wingert Grebing Brubaker & Ryan
LLP, a highly reputable defense oriented civil litigation law firm
based in San Diego, California. While with the Wingert firm, Mr.
Gregor litigated many different types of cases under the guidance
of some of the finest trial attorneys in the country. He also continued
to develop his transactional work and negotiation skills.
Mr. Gregor’s legal knowledge and experience enable him to
effectively handle a broad spectrum of litigation and non litigation

As one of the founding partners of Dorazio & Gregor LLP, Michael
James Dorazio brings a vast array of experience and knowledge to
the firm. Michael J. Dorazio earned his degree of Juris Doctor from
the University of San Diego School of Law in 1995. While attending
law school, he clerked for the law firm of Barnhorst, Schreiner
and Goonan, located in downtown San Diego California, and attended
to various business and civil litigation matters. Shortly after
receiving his degree from the University of San Diego and passing
the California bar, he relocated to the resort town of Sun Valley,
Idaho, where he became an associate attorney at one of the oldest
and most established law firms in that area, Kneeland, Korb, Collier
and Legg.
Upon passing the Idaho state bar, he began his career handling
a multitude of diverse matters that covered a wide spectrum of the
legal profession. His legal experience includes real estate, business
and corporate law, general civil litigation, criminal defense (as
an independent contractor for the County public defender’s
office) and family law (divorce, adoption, and domestic issues).
Experienced in all these areas, he began to concentrate on real
estate and business law, as well as civil litigation in those two
areas.
Included in his experience is the representation of clients before
governmental authorities such as city and county planning and zoning
commissions, city councils and the county board of commissioners.
He is heavily experienced in real estate development and transactional
work, including several years of experience representing developers
and general contractors from the conceptual stages of a project
through completion. This experience includes the representation
of clients involved in large scale residential and commercial development
projects through all phases of development, such as the acquisition
of real estate, financing, the subdivision, design review and other
permit approval processes, construction, and the marketing and sale
of the completed project.
Mr. Dorazio’s areas of practice also include a wide range
of business and corporate matters. He is skilled in the representation
of clients involved in the purchase and sale of business entities,
including the transfer of real property, business assets and inventory,
licenses and trademark rights. Further, he has extensive experience
in the formation and dissolution of business entities to fit a particular
client’s changing needs. His experience and skill in the area
of business law includes the representation of clients in entity
choice, employment matters, trademark and copyright matters, marketing
and sales, and advising clients in the structuring, preparation
and negotiation of contracts. His experience includes the handling
of civil litigation matters related to these areas of law, as well
as both mediation and arbitration of those types of cases.
Michael J. Dorazio’s experience includes the representation
of real estate brokerage firms, real estate agents, title insurance

rights, purchases and sales, homeowners association conduct and
